Yes. Directors in Malaysia owe statutory and fiduciary duties under the Companies Act 2016 and common law. Breaches may result in personal civil liability, disqualification, or criminal exposure in serious cases. Acting with majority approval or good intentions does not automatically protect a director.

4. Do founders in Malaysia need a shareholders’ agreement?
While not legally mandatory, a shareholders’ agreement is strongly advisable where there is more than one shareholder. The Companies Act 2016 does not regulate exits, deadlocks, or private arrangements between shareholders, which are typically addressed contractually.
